USER AGREEMENT

Terms and Agreement

The following describes the terms on which On-lineDepot.com offers its members and users access to its services. Please read this agreement carefully. You acknowledge, understand and agree that your use and the Services provided to you are exclusively governed by these Terms which cannot be modified by you. By signing in to On-lineDepot.com, you accept both the terms and conditions in this Member Agreement and our Terms of use. On-lineDepot.com may amend these terms from time to time. If you do not agree to be bound by the terms and conditions of this agreement, do not use the site or access our services. Your continued use of our service will signify your acceptance of the updated terms.

You acknowledge, understand and agree with the following:

MARKETING SERVICE: On-lineDepot.com is a marketing company. Its business is to assisst a Member to locate people who are willing to buy, sell, auction and exchange goods and services. We do not own or handle any goods or services listed on the site. On-lineDepot.com does not control the information provided by its users and made available on its site. You may find other user's information to be offensive, harmful, inaccurate, or deceptive. Please use caution, common sense, and practice safe trading when using the site. On-lineDepot.com cannot verify or endorse the quanlity, safety, or legality of the posted advertisements, or truth or accuracy of the content on our site. By using this site, you agree to accept such risks and On-lineDepot.com is not responsible for the acts or omissions of its users.

MEMBERSHIP ELIGIBILITY: You acknowledge that you are at least 18 years of age and have the capacity to form a binding contract. If you are under the age of 18, you can use the site in conjunction with, and under the supervision of your parents or guardians. If you do not qualify, please do not use the site. In consideration of On-lineDepot.com allowing you to use its site, you must agree to the within Terms, by clicking the "I accept" checkbox during the registration process. You acknowledge that, upon acceptance of these Terms, they shall form a valid and binding contract between you and On-lineDepot.com. Further, your On-lineDepot.com account and user ID may not be transferred or sold to another party. If you are registering as a business entity, you represent that you have the authority to bind the entity to this agreement.

MEMBER SIGN-UP NAMES: On-lineDepot.com may, at it sole discretion, change or remove any member sign-up name which:

-Cause confusion in our marketplace
-Other users find the information to be offensive and inappropriate
-Represent any form of contract information (URL, email, phone, etc).

RESTRICTED ACTIVITIES: You are solely responsible for your information. Your information (or any items listed) and your activities on the site shall not:

-Be false, inaccurate or misleading
-Be fraudulent or involve the sale of stolen itmes
-Infringe any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy
-Violate any law, statute ordinance, or regulation (including without limitation those governing export control, cinsumer protection, unfair competition, anti-discrimination, or false advertising)
-Be defamatory, trade libelous, unlawfully threatening, or unlawfully harassing
-Be obscene or contain child pornography. If the content is adult in nature and harmful to minors, it shall be posted only  in the Mature Audiences section and shall be distributed only to people legally permitted to receive such content
-Contain any viruses, Trojan horses, worm, time bombs, cancelbots, easter eggs or other computer programming routines that may damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information
-Link directly or indirectly to or inckude descriptions of goods or services that (i) are prohibited under this Agreement or (ii) goods or services that you do not have the right to link to or include
-Create liability for us or cause us to lose (in whole or part) the services of our ISPs or other suppliers

On-lineDepot.com may take any action it deems necessary or appropriate at its sole discretion against any such information and may refuse, modify, or reorganize any such content that is available via the service. IN addition, On-lineDepot.com ha the right to suspend or terminate the account of any offending member and may refuse any or all current or future use of our service, at any time and at its sole discretion. On-lineDepot.com reserves the right to change or discontinue, temporarily or permanent, some or all of its services at any time without notice.

FEES: Unless otherwise stated, all monetary values are quotes in Canadian Dollars. You are responsible for paying all fees, duties associated with using our service and our website and all applicable taxes. On-lineDepot.com may change its Fees and Credit Policy and the fees for its services from time to time. On-linDepot.com may at its sole discretion change some or all of its services at any time. In the event On-lineDepot.com introduces a new service, the fees for that service are effective at the launch of the service.

LISTING DESCRIPTION: You must be legally able to sell the item(s) you list for sale on the site. You must describe your item and all terms of sale on the listing page of the site. Your listing may only include text desciptions, graphics, pictures and other content relevant to the sale of the item. All items in multiple item listings must be identical. All listed items must be listed in an appropriate category.

PRIVACY: On-lineDepot.com will only use your personal information in accordance with our Privacy Policy.

NEGOTIATING: Members negotiate with each other through the process of formulating offers and counteroffers. Making an acceptance or confirmation of an acceptance constitutes an obligation for all parties involved to complete the transaction. Acceptances are not retractable except in excedptional circumstances. These circumstances may include, but are not limited to situations where a Member materially changes the description of the item after an offer has been made or in case of clear typographical errors, or when one cannot authenticate the identity of  Member involved in a trade.

DISPUTE: On-lineDepot.com is not responsible for resolving disputes between parties.

LIMITED LIABILITY: In no event should On-lineDepot.com or its suppliers be liable for lost profits or any special, incidental, or consequential damages, indirect or punitive damages arising out of or in connection with the use of its site, its services or as a result of this agreement (however arising, including negligence). On-lineDepot.com's liability to the greater of the amount of fees you pay to us in the 12 months prior to the action giving rise to liability, and c$100.

NO AGENCY: Any member and On-lineDepot.com are independent contractors, and no agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship is intended or created by this agreement.

NOTICES: Except as explicitly stated otherwise, On-lineDepot.com may provide you with notices via email, regular postal mail, or posting on the On-lineDepot.com website.

NO WARRANTY: We will try very hard to make your experience with On-linDepot.com the best one; however, On-linDepot.com cannot always foresee or anticipate technical or other difficulties. These difficulties may reault in loss of data or other service interruptions. On-lineDepot.com cannot assume reeponsibility for the timeliness, deletion, mis-delivery, or failure to store any Member data, communications, pr personalization settings. For this reason, you agree that On-lineDepot.com's services are provided "as is".

The On-lineDepot.com and its suppliers provide the website and its services "as is" and without any representation, warranty or condition, express, implied or statutory. On-lineDepot.com amd its suppliers specifically disclaim the implied warranties of tile, merchantability, fitness for a particular purpose, and noninfringement, and those arising by law or through a course of dealing or usage of trade, unless specifically required by law.

BREACH: Without limiting other remedies, On-lineDepot.com may immediately issue a warning, may limit activity of the offending user, warn its members of its actions of the offending user, temporarily suspend the offender, indefinitely suspend or terminate the membership of the offender and refuse to provide its services to the offending member if he or she breaches this Agreement or if On-linDepor.com is unable to verify or authenticate any information provided by the member. On-linDepot.com may suspend or terminate the account of any member whose actions may cause financial loss or legal liability the member, its users or to On-linDepot.com itself.

GENERAL COMPLIANCE WITH LAW: All members and users shall comply with applicable laws, statutes, ordinances and regulations regarding their use of its services and listing, negotiation, purchase, solicitation of offers to purchase, and sale of items and services on its site.

INDEMNITY: All members and users agree to indemnify, defend and hold harmless On-lineDepot.com and its subsidiaries, affiliates, officers, directors, agents, and employees, from and against any claim, demand, liability, cost, damage or loss it may incur, including legal fees, caused by any third party due to or arising from any breach of this agreement or the documents it incorporates by reference, or relating to any violation of any law or the rights of any third party.

ARBITRATION: Any controversy or claim arising out of or relating to this Agreement shall be settled by binding arbitration conducted by telephone, on-line and/or based solely upon written submissions where no personal appearance is required. In such cases, the arbitration shall be conducted in the Provice of Ontario, and the decision of the arbitrator or the arbitration award maybe entered into any court having jurisdiction thereof. Any member affected by such decision or On-lineDepot.com may seek any interim or preliminary relief from a court of competent jurisdiction in the Province of Ontario necessarily to protect the rights or property of such person pending the completion of the arbitration process.

OTHER AGREEMENT: If any member and On-lineDepot.com have entered into a separate written agreement that covers the use of On-lineDepot.com's website, the terms and conditions of such agreement shall control the extent to which such separate agreement is consistent with this Member Agreement.

GENERAL: This agreement shall be governed in all respects by the laws of the Province of Ontario, Canada as if the agreement was a contract wholly entered into and wholly performed within Ontario. If any provision of this agreement is held to be invalid or unenforceable, such provision shall be struck out of these Terms and the remaining provisions shall remain in force. Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of each section. On-lineDepot.com's failure to act with respect to a breach by you or others does not waive our right toi act with respect to subsequent or similar breaches.
